Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the Susa — Ship Universe Savings Alliance (“Susa,” “we,” “us,” “our”) websites, member portal, tools, content, and services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1) Who we are
Susa is a member program operated by ShipUniverse.com that curates vendor discounts, ROI tools, and industry resources for members. Susa is not a broker, agent, or party to any transaction between members and vendors.
2) Eligibility & account
You must be at least 18 and have authority to bind your employer (if applicable).
You’re responsible for your account credentials and all activity under your account.
Keep your information accurate and up to date.
3) Membership; billing; renewals
If your plan requires payment, you authorize the listed payment method to be charged for recurring fees, taxes, and any authorized add-ons.
Auto-renewal: Memberships renew automatically at the end of each term unless cancelled prior to renewal.
Cancellations & refunds: Unless stated otherwise in your plan, cancellations take effect at the end of the current term and fees already paid are generally non-refundable. Refunds may be grated on a case by case basis.
4) Susa’s role with vendors (important)
Vendors listed through Susa are independent third parties.
No agency: Susa is not an agent, broker, fiduciary, or representative of any vendor or member.
No commissions: Susa does not act as an intermediary for a fee or commission on your transactions.
No control: We do not control vendor products, services, pricing, timelines, safety, compliance, invoicing, warranties, or performance.
Your contracts: Any quotes, orders, statements of work, or service agreements are exclusively between you and the vendor.
Due diligence: You are solely responsible for vetting vendors and ensuring scope, safety, legal compliance, and suitability for your needs.
5) Discounts, pricing & availability
Any discount, rate, or promotion shown through Susa is subject to vendor approval, eligibility, and availability, and may change or be withdrawn at any time.
Susa does not guarantee specific prices, savings, or outcomes.
In the event of a discrepancy between information on Susa and vendor documentation, the vendor’s documentation controls.
6) Requests for Quote (RFQ) & contact forms
When you submit an RFQ or form, you authorize us to share your submission (and relevant contact details) with the identified vendor(s) so they can contact you.
Do not submit confidential, export-controlled, or sensitive personal data unless the form specifically requests it and you have a lawful basis.
We may reject or block submissions we believe are spam, unlawful, or inappropriate.
7) ROI tools & content (informational only)
ROI calculators, analyses, articles, and other content are provided for general informational purposes only.
They are not professional, financial, legal, engineering, or safety advice.
Assumptions and data inputs can materially affect results; verify independently before relying on any output.
8) Acceptable use
You agree not to:
Misuse the Services (e.g., scraping, spamming, scanning, probing, or bypassing security).
Upload or transmit anything unlawful, infringing, defamatory, fraudulent, or harmful (including malware).
Impersonate others or misrepresent your affiliation.
Reverse engineer or attempt to derive source code, except as permitted by law.
We may suspend or terminate access for violations.
9) Intellectual property
The Services, including design, text, graphics, logos, and software, are owned by Susa/ShipUniverse or its licensors and protected by IP laws.
You receive a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes during your membership.
Do not copy, modify, distribute, or create derivative works without permission.
10) User content & feedback
You retain ownership of content you submit, but grant Susa a worldwide, non-exclusive, royalty-free license to use, host, reproduce, and display that content solely to operate and improve the Services.
If you provide feedback or suggestions, we may use them without restriction or compensation.
11) Third-party links & services
The Services may link to third-party websites or tools. We do not endorse or control such sites and are not responsible for their content, security, or practices. Your use is at your own risk and subject to those third parties’ terms.
12) Privacy
Our collection and use of personal data is described in our Privacy Policy. By using the Services, you consent to those practices.
13) Compliance; export; sanctions
You are responsible for compliance with all applicable laws and regulations, including export controls and sanctions. Do not use the Services if you are barred by applicable law.
14) Disclaimers
THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
To the maximum extent permitted by law, Susa disclaims all warranties (express, implied, or statutory), including fitness for a particular purpose, non-infringement, and accuracy. We do not warrant uninterrupted or error-free operation, or that savings, outcomes, or vendor performance will meet your expectations.
15) Limitation of liability
To the maximum extent permitted by law:
No indirect damages: Susa is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill.
Cap: Susa’s total liability for any claim arising out of or related to the Services is limited to the amount you paid to Susa for membership fees in the 12 months before the event giving rise to the claim (or $100 if no such fees were paid).
Vendor dealings: Susa is not responsible for any acts, omissions, defects, delays, pricing, safety issues, non-performance, or disputes involving vendors.
Some jurisdictions do not allow certain limitations; some parts may not apply to you.
16) Indemnification
You agree to defend, indemnify, and hold harmless Susa, ShipUniverse, and their officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
(a) your use of the Services,
(b) your content or submissions,
(c) your dealings with vendors, or
(d) your violation of these Terms or any law.
17) Changes to the Services and these Terms
We may modify or discontinue any part of the Services at any time. We may update these Terms by posting the revised version with a new effective date. Your continued use after changes becomes effective constitutes acceptance.
18) Suspension & termination
We may suspend or terminate access if you violate these Terms or if required by law. You may stop using the Services at any time. Sections that by their nature should survive (e.g., IP, disclaimers, limits of liability, indemnity, governing law) will survive termination.
19) Governing law; venue
These Terms are governed by the laws of Louisiana/U.S., without regard to conflicts of laws rules. You agree to the exclusive jurisdiction and venue of the courts located in Louisiana/U.S.
20) Electronic communications; notices
By using the Services, you consent to receive communications electronically. We may provide notices by posting to the Services, emailing your account address, or other reasonable methods.
21) Miscellaneous
Entire agreement: These Terms (plus any plan-specific terms and the Privacy Policy) are the entire agreement between you and Susa.
Severability: If a provision is unenforceable, the rest remains in effect.
No waiver: Failure to enforce a provision is not a waiver.
Assignment: You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or asset transfer.
